Terms of Service

By accessing or using the CTO Assistant platform ("Service"), available at ctoassistant.help, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and CTO Assistant. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms.

CTO Assistant is a productized app development platform that provides: - CTO Assistant: An AI-powered technical specification generator that analyzes your project requirements across six dimensions (Essentials, Tech Stack, Compliance, Integrations, Tools, and Deployment) to produce a comprehensive development plan. - Developer Matching: An intelligent matching engine that connects you with vetted developers based on your industry, technical requirements, and project scope. - Project Management: Tools for managing the development lifecycle, including milestone tracking, deliverable management, and in-platform communication. - Escrow Payments: Secure payment processing where funds are held in escrow and released upon completion and approval of deliverables. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

To use certain features of the Service, you must create an account. When creating your account, you agree to: - Provide accurate, current, and complete information - Maintain and promptly update your account information - Maintain the security of your account credentials - Accept responsibility for all activities that occur under your account - Notify us immediately of any unauthorized use of your account CTO Assistant offers different user roles including Client, Developer, and Admin. Each role has specific permissions and responsibilities within the platform. Developer profiles must be approved by CTO Assistant administration before being made publicly visible. We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice where possible.

CTO Assistant offers several package tiers and scope types for app development services: - Startup MVP: $15,000 - $25,000 (MVP Mobile, MVP Web, or MVP Plus) - Enterprise MVP: $25,000 - $45,000 (Enterprise Mobile, Enterprise Web, or Enterprise Full) - Scope types: Design ($5,000), Fullstack ($15,000), Backend Only ($7,500), Frontend Only ($7,500), Add-ons & Custom (varies) Prices are quoted in US dollars. Payment can be made on a milestone basis or in full at the start of the project. All payments are processed via bank transfer through our secure payment infrastructure powered by Wise. You agree to pay all fees associated with your selected package and any additional scope or add-ons agreed upon during the project. Prices are subject to change, but any changes will not affect existing active projects.

All project payments are held in escrow through the CTO Assistant platform. The escrow system works as follows: - Funds are collected from the client at project initiation (deposit or full payment) - Funds are held securely by our payment processing partners - Funds are released to the developer only upon client sign-off on completed deliverables - In case of disputes, CTO Assistant will facilitate resolution before releasing funds CTO Assistant charges a platform fee based on the project type: - Productized development (package-based projects): 5% platform fee - Contract work (custom negotiated projects): 7.5% platform fee Platform fees are charged to the client on top of the project price. Developers receive the full project amount. These fees cover payment processing, escrow management, developer vetting, and platform access. Fee rates are configurable and may be adjusted with advance notice.

Upon full payment and completion of a project, the client receives full ownership of all deliverables, including source code, design assets, and documentation produced by the developer as part of the project scope. The developer retains no rights to the project deliverables after ownership transfer, except for any pre-existing intellectual property or open-source components used in the project, which remain subject to their respective licenses. CTO Assistant retains all rights to the platform itself, including but not limited to the CTO Assistant, matching algorithms, user interface, and all related intellectual property. Technical specifications generated by the CTO Assistant are provided for the client's use but the underlying AI models and knowledge base remain CTO Assistant's property. You may not copy, modify, distribute, or reverse-engineer any part of the CTO Assistant platform without our express written permission.

To the fullest extent permitted by applicable law, CTO Assistant shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or related to your use of the Service. CTO Assistant acts as a platform connecting clients with developers and providing project management and payment tools. We do not guarantee the quality, timeliness, or outcome of any development work performed by developers matched through our platform, though we take reasonable steps to vet developers and facilitate successful projects. Our total liability for any claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to CTO Assistant in the twelve (12) months preceding the event giving rise to the claim.

You may terminate your account at any time by contacting us at support@ctoassistant.help. Upon termination: - Active projects will continue until completion or mutual agreement to cancel - Funds held in escrow will be handled according to the project status and deliverable completion - You will remain responsible for any outstanding payments - We may retain certain information as required by law or for legitimate business purposes CTO Assistant may suspend or terminate your account if you: - Violate these Terms of Service - Engage in fraudulent or illegal activity - Fail to make required payments - Misuse the platform or harm other users In cases of termination for cause, CTO Assistant reserves the right to withhold funds in escrow pending resolution of any disputes.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding. Nothing in these Terms shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect intellectual property rights or prevent irreparable harm.
